    Ki Ingersol is a transactional attorney and represents companies and investors in connection with general business and real estate matters. Mr. Ingersol’s current clients include corporations and LLCs engaged a wide range of business ventures, corporate landlords and tenants, developers, family offices, and individuals. Mr. Ingersol actively participates in his engagements, executing general project oversight as well as directing the efforts of junior team members. Mr. Ingersol also has entrepreneurial experience as a co-founder of companies that secured private funding.

    Representative Matters

    • Represents companies in connection with general corporate and financing matters, including mergers & acquisitions, and equity purchase and sale transactions.

    • Member of three-person Kroloff M&A team that represented Clark Pest Control in connection with its acquisition by public company Rollins.

    • Represents residential developers in every aspect of development, from land acquisition through finished home sales, including permitting issues, environmental issues, construction agreements, contractor agreements, and master declarations.

    • Represents multi-family developers from land acquisition through project completion, including initial financing, permitting, contracting, land use, and refinancing.

    • Drafts and negotiates purchase and sale agreements for buyers and sellers of all forms of real estate — developed, undeveloped, and agricultural.

    • Drafts and negotiates commercial leases for office space, industrial space, and laboratory space.

    • Drafts and negotiates agricultural leases.

    • Serves as outside general counsel to clients, providing advice relating to all aspects of corporate formation, corporate governance, ongoing business operations, contracts, and business wind down.

    • Develops family business co-ownership and succession strategies and prepares the related documentation, including limited partnership agreements, limited liability company agreements, and agreements among equity holders and real estate co-owners.
