Real Estate Transactions

The firm for many years has provided legal services in the acquisition and sale of developed and undeveloped land, and we are often called upon to assist our clients in implementing tax-deferred exchanges. In addition, we routinely help clients in structuring and documenting leases, construction contracts and various forms of financing, including traditional acquisition, development and construction loans, joint ventures, limited liability companies and other debt-equity structures. In these transaction-related areas our clients include lenders, borrowers, developers, builders, contractors, farmers, other property owners, syndicators and investors. Our practice also includes the representation of both landlord and tenants.

The firm has developed an expertise in advising real estate brokers and agents, and for many years has served as counsel to various local Associations of Realtors®, including Amador County, Calaveras County, Merced County, Central Valley Association of Realtors® (Stockton, Modesto, Manteca, Oakdale Ripon, Tracy and Turlock) and Tuolomne County. Members of the firm also have experience representing clients in land use matters before local government agencies and providing property owners with legal advice, counseling and representation in the area of environmental law compliance.
